You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.

I. ACCEPTANCE OF TERMS
By accessing or using any part of the Site, placing an order, creating an account, or otherwise engaging with Culinvaro, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Cookie Policy, both of which are incorporated herein by reference.

We reserve the right to change or modify these Terms at any time and in our sole discretion. If we make material changes to these Terms, we will provide notice as described in Section XXIII below. Your continued use of the Site following any such change constitutes your acceptance of the revised Terms.

II. ELIGIBILITY TO USE THE SITE
By using the Site, you represent and warrant that:

– You are at least 18 years of age, or the age of legal majority in your jurisdiction of residence, or are using the Site under the supervision of a parent or legal guardian;
– You have the legal capacity to enter into a binding contract with Culinvaro;
– You are not barred from using the Site under the laws of the United States or any other applicable jurisdiction;
– All registration information you submit is truthful, accurate, and complete, and you agree to keep it accurate and up to date;
– Your use of the Site will not violate any applicable law or regulation.

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe these eligibility requirements have not been met.

III. ACCOUNT REGISTRATION & SECURITY
To access certain features of the Site, such as order tracking, saved addresses, and order history, you may be required to create an account. When you create an account, you agree to:

– Provide accurate, current, and complete information during the registration process;
– Maintain the confidentiality of your account password and restrict access to your account;
– Promptly notify us of any unauthorized use of your account or any other breach of security;
– Accept sole responsibility for any activities or actions that occur under your account, whether or not you have authorized such activities or actions.

We reserve the right to suspend or terminate your account, refuse service, or remove or edit content at our sole discretion if we believe you have violated these Terms, provided false information, or engaged in fraudulent, abusive, or unlawful activity.

IV. PRODUCTS, DESCRIPTIONS & PRICING
We attempt to be as accurate as possible in describing our products, including materials, dimensions, weight, and color. However, we do not warrant that product descriptions, photographs, pricing, or other content available on the Site is accurate, complete, current, reliable, or error-free.

Colors and finishes may appear slightly different on your screen than in person due to variations in display settings, lighting, and photography conditions. Weights and dimensions provided for cookware and kitchen tools are approximate and may vary slightly by unit.

All prices listed on the Site are in U.S. Dollars (USD) unless otherwise indicated and are subject to change without notice. We reserve the right, at any time, to correct any errors, inaccuracies, or omissions, and to change or update information, including after an order has been submitted, without prior notice. If we discover a pricing or typographical error on an order you have placed, we reserve the right to cancel that order and refund any amount you have already paid.

Product availability is not guaranteed and is subject to change without notice. We reserve the right to limit the quantities of any product that we offer, discontinue any product at any time, and limit or cancel quantities purchased per person, household, or order.

V. ORDER ACCEPTANCE & FULFILLMENT
Your placement of an order through the Site constitutes an offer to purchase the selected products under these Terms. All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including but not limited to: product or pricing errors, suspected fraudulent activity, limitations on quantities available for purchase, or inaccuracies in your billing or shipping information.

We may require additional verification or information, including a valid telephone number and address, before accepting any order. An order is not accepted by us until we send you a confirmation email or otherwise notify you that your order has shipped. We reserve the right, without prior notice, to limit the order quantity of any product and to refuse service to any customer.

If we cancel an order after payment has been processed, we will issue a full refund to your original payment method within a reasonable time.

VI. PAYMENT TERMS
We accept various forms of payment as indicated on the Site at checkout, which may include major credit and debit cards, and other payment methods as made available from time to time. By providing a payment method, you represent and warrant that you are authorized to use that payment method and that the information you provide is accurate.

Payment is processed securely through third-party payment processors. Culinvaro does not directly store your complete payment card information on its own servers. You authorize us to charge your chosen payment method for the total amount of your order, including applicable taxes and shipping fees, at the time your order is placed or, where applicable, at the time your order ships.

You are responsible for any sales tax, use tax, duties, or other governmental charges applicable to your purchase, as calculated and displayed at checkout based on your shipping destination.

VII. SHIPPING & DELIVERY
We ship to the countries listed on our Shipping Information page. Estimated delivery times are provided for your convenience and are not guaranteed. Delivery times may be affected by factors outside of our control, including carrier delays, customs processing, weather events, and other circumstances beyond our reasonable control.

Risk of loss and title for products purchased from us pass to you upon our delivery to the shipping carrier. We are not responsible for delays, loss, or damage that occurs once a package has been transferred to the carrier, although we will make reasonable efforts to assist in resolving shipping issues on your behalf.

For international orders, you are responsible for any customs duties, import taxes, brokerage fees, or other charges imposed by the destination country. These charges are not included in the item price or shipping cost and are the sole responsibility of the recipient.

VIII. RETURNS, REFUNDS & EXCHANGES
We want you to be satisfied with your purchase. Our returns and refund practices are described in detail in our Returns & Refunds Policy, which is incorporated into these Terms by reference. In general:

– Eligible items may be returned within the applicable return window for your region, provided the item is unused and in its original packaging;
– Refunds are issued to your original payment method once a returned item has been received and inspected;
– Certain items may be excluded from return eligibility, including final sale items, gift cards, and products that have been used, damaged, or altered after delivery;
– Shipping costs for returns may vary by region as described in our Returns & Refunds Policy.

IX. PROMOTIONS, DISCOUNT CODES & GIFT CARDS
From time to time, we may offer promotional discount codes, sales, or gift cards. Unless otherwise stated, promotional discount codes cannot be combined with other offers, are not valid on prior purchases, and may be subject to minimum purchase requirements or expiration dates as specified at the time the offer is made.

Gift cards issued by Culinvaro do not expire unless required by applicable law, are not redeemable for cash except where required by law, and cannot be used to purchase additional gift cards. Lost or stolen gift cards will not be replaced unless required by applicable law. We reserve the right to cancel or modify any promotional offer at any time, including due to technical errors, misuse, or suspected fraud.

X. INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Site is our proprietary property, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"), are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions.

The Content and Marks are provided on the Site "AS IS" for your information and personal, non-commercial use only. Except as expressly provided in these Terms, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

XI. USER-GENERATED CONTENT & REVIEWS
The Site may allow you to submit product reviews, ratings, photographs, questions, or other content ("User Content"). By submitting User Content, you grant Culinvaro a non-exclusive, worldwide, royalty-free, perpetual, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, and display such User Content in connection with our business, including for marketing purposes, across any media now known or later developed.

You represent and warrant that: (a) you own or have the necessary rights to submit the User Content; (b) the User Content does not infringe upon the intellectual property, privacy, or other rights of any third party; and (c) the User Content is accurate and not misleading.

We reserve the right, but are not obligated, to monitor, edit, or remove any User Content that we determine, in our sole discretion, to be unlawful, offensive, threatening, defamatory, or otherwise objectionable, or that violates these Terms.

XII. ACCEPTABLE USE & PROHIBITED ACTIVITIES
You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

– Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
– Attempt to gain unauthorized access to the Site, other users' accounts, or any connected systems or networks;
– Use any automated system, including "robots," "spiders," or "offline readers," to access the Site in a manner that sends more request messages than a human can reasonably produce in the same period;
– Circumvent, disable, or otherwise interfere with security-related features of the Site;
– Engage in unauthorized framing of or linking to the Site;
– Upload or transmit viruses, malware, or any other malicious code that may affect the operation of the Site;
– Use the Site to advertise or offer to sell goods and services other than through channels we specifically approve;
– Harass, abuse, or harm another person or entity through your use of the Site;

– Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.

Violation of this Section may result in, among other remedies, termination of your account and legal action.

The Site may contain links to third-party websites or services that are not owned or controlled by Culinvaro. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Culinvaro shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available through third-party websites.

We strongly encourage you to read the terms and privacy policy of any third-party website you visit.

XIV. DISCLAIMER OF WARRANTIES
THE SITE AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE.

This section does not affect any statutory warranty rights you may have on physical products purchased from us that cannot be excluded or limited under applicable law, which are addressed separately in our Warranty & Care information.

XV. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CULINVARO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH IT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM DURING THE ORDER IN QUESTION.

CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

XVI. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Culinvaro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Site, or your violation of any rights of a third party.

XVII. DISPUTE RESOLUTION & ARBITRATION
We encourage you to contact us first to seek a resolution to any dispute by reaching out through the "How to Contact Us" section below. Most concerns can be resolved quickly in this manner.

To the extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Site, shall be determined by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Any arbitration will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You and Culinvaro each waive any right to a jury trial or to participate in a class action, to the fullest extent permitted by applicable law.

XVIII. GOVERNING LAW & JURISDICTION
These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Subject to Section XVII above, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Wyoming for the resolution of any disputes not subject to arbitration.

XIX. SEVERABILITY
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

XX. WAIVER
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

XXI. ASSIGNMENT
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

XXII. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Culinvaro concerning the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Culinvaro.

XXIII. CHANGES TO THESE TERMS
We reserve the right to change, modify, or update these Terms at any time and for any reason. We will alert you of any material changes by updating the "Last Updated" date at the top of this document, and in some cases, we may provide additional notice, such as adding a statement to our homepage or sending you an email notification. We encourage you to review these Terms periodically. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those changes.
